These Terms and Conditions ("Terms") govern your use of the Veldara website and your engagement with Veldara's consulting services. By accessing our website or proceeding with any consulting engagement, you agree to be bound by these Terms. Please read them carefully.

1. Definitions

In these Terms, the following definitions apply:

• "Service" means the business consulting engagements and any associated deliverables provided by Veldara.
• "Client" or "User" means any individual or organization that accesses our website or engages our services.
• "We / Us / Our" refers to Veldara, a consulting firm based in Bangkok, Thailand.
• "Engagement" means a specific consulting project as defined by a written scope document agreed between us and the Client.
• "Deliverable" means any written output, report, or document produced as part of an Engagement.

2. Acceptance of Terms

By using our website or engaging our services, you confirm that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are acting on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.

Use of our website constitutes acceptance of these Terms. For consulting engagements, a written Engagement Agreement will be provided and must be signed before work commences.

3. Service Description

Veldara provides business consulting services including Strategic Growth Advisory, Organizational Alignment Review, and Executive Decision-Making Partnership. The specific scope, deliverables, timeline, and pricing for each Engagement are defined in a written Engagement Agreement signed by both parties before work begins.

Our services are available to clients located in Thailand and internationally, subject to any applicable legal restrictions.

4. Engagement Terms

Scope and Pricing

All Engagements are conducted on a fixed-price basis as set out in the Engagement Agreement. The scope, deliverables, and timeline are agreed in writing before commencement. Any changes to scope are discussed and documented in a written amendment before they are acted upon.

Payment

Payment terms are specified in the Engagement Agreement. Prices are quoted in Thai Baht (THB). Late payment may result in a suspension of work until the outstanding amount is resolved. We accept bank transfer and other payment methods as agreed.

Cancellation

If a Client wishes to terminate an Engagement, written notice must be provided. Work completed and costs incurred up to the date of notice are payable. Specific cancellation provisions are included in each Engagement Agreement.

5. Client Responsibilities

Clients agree to provide accurate and complete information relevant to the Engagement, to make key personnel available for interviews and sessions as agreed, to review and provide feedback on draft deliverables within agreed timeframes, and to maintain confidentiality of any proprietary methodologies or materials shared by Veldara.

6. Intellectual Property

Upon full payment of fees for a completed Engagement, Veldara grants the Client a non-exclusive, non-transferable right to use the Deliverables for their internal business purposes. Veldara retains ownership of all underlying methodologies, frameworks, templates, and know-how. Deliverables may not be reproduced, distributed, or published externally without prior written consent from Veldara.

7. Confidentiality

Both parties agree to maintain confidentiality of information shared during the course of an Engagement. A mutual confidentiality agreement is signed as part of all Engagement Agreements. This obligation survives the termination of the Engagement for a period of three years, unless otherwise agreed in writing.

8. Disclaimers

Veldara's services constitute professional advisory support. They do not constitute legal, financial, accounting, or regulatory advice. Clients should seek appropriate professional advice in those areas. Consulting outcomes depend on many factors outside Veldara's control, and no specific business results are promised or implied.

Website content is provided for general information purposes. We make reasonable efforts to keep it accurate but make no warranties regarding its completeness or currentness.

9. Limitation of Liability

To the maximum extent permitted by Thai law, Veldara's total liability to a Client in connection with an Engagement shall not exceed the fees paid for that Engagement. We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profit or business opportunity, regardless of the cause.

10. Indemnification

You agree to indemnify and hold harmless Veldara and its consultants from any claims, losses, or expenses (including legal fees) arising from your use of our services in a manner inconsistent with these Terms, or your breach of any applicable law.

11. Termination

Either party may terminate an Engagement by providing written notice as specified in the Engagement Agreement. We reserve the right to suspend or terminate our services if a Client fails to meet payment obligations or engages in conduct that is unlawful or materially harmful to our reputation.

Provisions relating to confidentiality, intellectual property, limitation of liability, and governing law survive termination of these Terms or any Engagement.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Kingdom of Thailand. Any dispute arising from these Terms or from an Engagement shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be referred to the courts of Bangkok, Thailand, which shall have exclusive jurisdiction.

13. General Provisions

These Terms, together with any Engagement Agreement, constitute the entire agreement between the parties with respect to the subject matter. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in effect. Our failure to enforce any right under these Terms does not constitute a waiver of that right.

14. Changes to These Terms

We may update these Terms periodically. The current version will always be posted on our website with the "Last Updated" date indicated. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
